AUTO-RENEWAL DISCLOSURE - REQUIRED BY CALIFORNIA LAW (B&P §17600)
Your membership will automatically renew each month on your billing anniversary date - the same date each month as your original enrollment date. Your payment method on file will be charged at the rate shown below unless you cancel before your next billing date. Cancellation is effective immediately: once you cancel, no further payments will be scheduled, and your membership access continues through the end of your current paid billing period.
Because payments are processed automatically, a cancellation submitted within three (3) days of your billing date may not stop that cycle's payment. If that occurs, the payment stands and your membership remains active through that additional paid period before ending. To stop your next payment, cancel at least three (3) days before your billing anniversary date.
To cancel: You may cancel through the same method by which you enrolled - online via the Society 3 website, or in person at the front desk - in accordance with California Business & Professions Code §17602. No cancellation method may be more restrictive than the enrollment method.
If you elect to freeze your membership, you may do so for up to 30 days per calendar year at no charge. Your rate, including any Founding Member rate, is preserved during an approved freeze.
By acknowledging below, you agree and consent to these auto-renewal and freeze terms.
Rate notice: Monthly membership rates for the Core, Charged, Committed, Complete, and Black Cat tiers are subject to change with 30 days written notice as described in Section 7 of this agreement. Founding Member rates are exempt from rate increases for as long as the membership remains continuously active. Your acknowledgment confirms that the rate shown at signing may change in the future pursuant to Section 7.

FACILITY OPENING DATE - PRESALE MEMBERSHIPS (California Civil Code §1812.85(a))
The Society 3 facility at 21144 Ventura Blvd, Woodland Hills, CA 91364 will open and be available for use on August 1, 2026. If this agreement is signed before that date, no billing period begins and no membership services are owed until the facility opens. If the facility does not open within six (6) months of the date this agreement is signed, Member may cancel this agreement at any time and receive a full refund of all amounts paid.
Terms & Conditions
1. Auto-Billing & Charge Authorization
Membership dues are billed monthly on the Member's billing anniversary date - the same calendar date each month as the original enrollment date (e.g., a member who enrolls on the 15th is billed on the 15th of every subsequent month). If the anniversary date does not exist in a given month (e.g., the 31st in a 30-day month), billing will occur on the last day of that month. It is the member's responsibility to maintain a valid payment method. If a payment fails, Society 3 will notify the member and allow a brief window to update the payment method. A $10 processing fee may apply to failed payments; however, the first failed payment per calendar year is not subject to this fee, in recognition that card expirations and bank changes happen. Founding Member rates are honored for as long as the membership remains continuously active and in good standing with no lapse in billing.
Member authorizes Society 3 to charge the payment method on file for all applicable membership dues, late fees, no-show fees, retail purchases, and any other charges incurred under this agreement, without requiring additional authorization for each transaction. Late cancellation and no-show fees are billed on the two-week cycle described in Section 5.
2. Cancellation
Members may cancel their membership at any time, effective immediately. Upon cancellation, no further payments will be scheduled to the payment method on file. The membership, including any remaining class allocation, remains active through the end of the current paid billing period and then expires without renewing.
Billing Processing. Membership payments are processed automatically in advance of the billing anniversary date. A cancellation submitted within three (3) days of the billing anniversary date may not stop that cycle's payment, as the payment may already be in process. If that occurs, the payment stands, the membership remains active through that additional paid billing period, and the membership then expires without renewing. To ensure a cancellation takes effect before the next payment, members should submit it at least three (3) days before their billing anniversary date. This is a payment processing timeline, not a notice requirement: cancellation itself is always effective immediately upon submission.
Dues already paid for the current period are non-refundable except as provided in Section 2A, the Notice of Cancellation Rights below, or as otherwise required by California law.
In accordance with California Business & Professions Code §17602, members may cancel through the same method used to enroll - no cancellation method may be more burdensome than the original signup process:
- Members who enrolled online may cancel online through the Society 3 website.
- Members who enrolled in person at the studio may cancel in person at the front desk.
Society 3 will send a written confirmation of cancellation to the Member's email address on file within 3 business days of receiving a valid cancellation request. Society 3 is not responsible for cancellations submitted through an unconfirmed or incorrect channel. If you do not receive a confirmation within 3 business days, contact Society 3 immediately at [society3studios@gmail.com](mailto:society3studios@gmail.com).
2A. Statutory Cancellation Rights - Death, Disability & Relocation (California Civil Code §1812.89)
In addition to the cancellation rights above, and notwithstanding any other provision of this agreement:
- Death or Disability. If the Member dies, or becomes disabled in a manner that affects the Member's ability to use or enjoy the studio's facilities, the Member (or the Member's estate or representative) may cancel this agreement at any time. Disability must be verified by a licensed physician. Upon such cancellation, no further payments are due, and Society 3 will refund a prorated portion of any amounts prepaid for the unused period, upon request.
- Relocation. If the Member moves more than 25 miles from the Society 3 facility and is unable to transfer the membership to a comparable facility, the Member may cancel this agreement at any time. Upon such cancellation, no further payments are due, and Society 3 will refund a prorated portion of any amounts prepaid, less a cancellation fee of no more than $100 (or $50 if more than half of the membership billing period has elapsed).
These rights are provided by California law, cannot be waived, and take precedence over any conflicting term of this agreement, including the No Refunds provision in Section 4.
3. Freeze Policy
Members may freeze their membership for up to 30 days per calendar year at no charge. A freeze request must be submitted at least 3 days in advance. Your rate, including any Founding Member rate, is preserved during an approved freeze. Membership may not be frozen retroactively. A member who needs to pause for longer is encouraged to cancel (effective immediately, no further charges) and rejoin later; note that cancellation forfeits any Founding Member rate. Members facing a longer-term medical condition or injury should see the Medical/Injury Exception in Section 4.
4. No Refunds
Except as provided in Section 2A (statutory cancellation rights) and the Notice of Cancellation Rights below, all membership dues and class pack purchases are non-refundable. Partial month refunds or prorated credits will not be issued for dissatisfaction, scheduling conflicts, or non-use. Members are encouraged to use their freeze option if they need to pause participation.
Medical/Injury Exception: In the event of a serious medical condition or significant injury that prevents participation, Society 3 may, at its sole discretion, issue a prorated credit toward a future billing period. For purposes of this policy, a qualifying medical condition is one that, as documented by a licensed physician, prevents the member from participating in any physical fitness activity for a minimum of thirty (30) consecutive days. Minor injuries, general illness, or conditions that permit modified participation do not qualify. To be considered, the member must submit a written request along with documentation from a licensed healthcare provider (e.g., physician's note on official letterhead) within 14 days of the onset of the condition or injury. Approved credits will be applied to the member's account and may not be transferred or redeemed for cash. Society 3 reserves the right to approve or deny any such request and will apply consistent written criteria in evaluating all requests.
5. Late Cancellation & No-Show Policy
The cancellation window is 12 hours for all members, and grace pass eligibility varies by membership tier, as described in the Studio Policies. Late cancellations and no-shows are subject to a $22 fee per occurrence, recorded to the Member's account and billed to the payment method on file on a two-week cycle as described below, pursuant to the charge authorization in Section 1.
Treatment by membership type:
- Unlimited tiers (Committed, Complete, Black Cat): $22 fee per occurrence.
- Class-allocation tiers (Core, Charged): $22 fee per occurrence, and the reserved class is deducted from the member's monthly allocation. The deduction reflects the member's use of the reservation itself: the spot was held for the member and made unavailable to others.
- Class Pack holders: Forfeiture of the reserved session in lieu of a fee.
- Single drop-in purchasers (TriMethod or Recovery Suite): Forfeiture of the drop-in payment in lieu of a fee, as stated in the applicable purchase agreement.
- Recovery Suite sessions (Complete and Black Cat): $22 fee, and the session is forfeited from the member's monthly allotment.
Member expressly agrees that the $22 fee represents reasonable liquidated damages reflecting the genuine cost to Society 3 of an unfilled spot, including instructor time, reserved capacity, and operational overhead, and that neither the fee nor the deduction of a used reservation constitutes a penalty under California law.
A member who arrives after a class has started and is not admitted, in accordance with the Arrival & Late Entry policy in the Studio Policies, is treated as a no-show for purposes of this Section and is billed the applicable fee or credit deduction for their tier, regardless of the member's physical presence at the studio.
Fee Billing. Late cancellation and no-show fees are recorded to the Member's account when they occur and are billed together to the payment method on file once every two weeks, with an itemized email notice listing each fee, the class, and the date. Society 3 may waive or reduce any fee at its discretion, and a waiver in one instance does not waive any other fee. Fees recorded before a membership is cancelled remain payable and will be billed on the next cycle after cancellation. Class deductions and forfeitures take effect at the time of the late cancellation or no-show.
5A. Monthly Class Allocations & Expiration
Classes included in the Core and Charged memberships, and Recovery Suite sessions included in the Complete and Black Cat memberships, are allocated per billing period. Allocations reset at the start of each billing period on the Member's billing anniversary date.
Limited Rollover (Core and Charged only). Core members may carry up to one (1) unused class, and Charged members up to two (2) unused classes, into the immediately following billing period. Carried-over classes are used before the new allocation, expire at the end of that following period, and do not roll over again. Rollover applies only to the classes of the Member's current tier, ends when the membership is cancelled or expires, and carried-over classes have no cash value.
All other unused classes and all unused Recovery Suite sessions do not roll over, do not accumulate, and have no cash value. This applies regardless of the reason for non-use, including scheduling conflicts, travel, illness, or class availability. Members who need to pause participation are encouraged to use the freeze option described in Section 3.
5B. Class Exchanges (Rescheduling)
Members may exchange a reserved class for another class on the same calendar day at no charge, provided the exchange is requested at least 12 hours before the start time of the originally reserved class.
An exchanged reservation carries the original class's cancellation deadline. Moving a reservation does not reset, extend, or renew the cancellation window. A member who exchanges into a later class and subsequently cancels that class is subject to the standard late cancellation fee and allocation treatment for their tier if the cancellation falls outside the window measured from the original reservation.
Exchanges are limited to classes on the same calendar day and are subject to availability. Exchanges are permitted at the sole discretion of Society 3 and may be limited, suspended, or revoked in cases of repeated or abusive use.
5C. Changing Membership Tiers
A Member with an active membership may move between the Core, Charged, Committed, Complete, and Black Cat tiers at any time, subject to the following:
- Upgrades. An upgrade takes effect immediately once the Member accepts the new tier's purchase agreement. The Member pays the full difference between the monthly rate of the current tier and the monthly rate of the new tier (for a Member on a Founding Rate, the difference between the two tiers' Founding Rates) as a one-time charge to the payment method on file. The difference is not prorated by day. The Member receives the new tier's allocation for the current billing period, less any classes and Recovery Suite sessions already used in that period.
- Downgrades. A downgrade takes effect at the start of the next billing period. The Member keeps the current tier's benefits through the end of the current period, and no refund or credit is issued for the difference in price.
- Billing date and rate. A tier change does not change the billing anniversary date. Beginning with the next billing period, the Member is billed the new tier's monthly rate. The new tier's purchase agreement replaces the prior tier's purchase agreement from the effective date, including the recurring payment authorization for the new amount.
- Founding Rate. A Member who holds a Founding Rate keeps founding pricing when changing tiers, at the Founding Rate of the new tier, for as long as the membership remains continuously active. A tier change is not a cancellation and does not forfeit the Founding Rate.
- Carried-over classes. Any carried-over class remains on the account, is used first, and keeps its original expiration.
- Availability. Changes into the Complete or Black Cat tiers are subject to availability under the Sunday capacity limits described in the applicable purchase agreement.
An upgrade charge is non-refundable except as provided in Section 2A, the Notice of Cancellation Rights, or as otherwise required by California law.
6. Conduct
Members agree to abide by Society 3's Studio Policies at all times. Society 3 reserves the right to terminate any membership, with or without prior warning, without refund, in the event of misconduct, harassment, or repeated policy violations.
7. Rate Changes
Rates for the Core, Charged, Committed, Complete, and Black Cat memberships, as well as Class Pack and Recovery Suite drop-in pricing, are subject to change with a minimum of 30 days advance written notice delivered to the Member's email address on file. Founding Member rates are permanently exempt from any rate increases, provided the membership remains continuously active and in good standing with no lapse in billing. A lapse in billing that remains uncured for more than 10 days following written notice from Society 3, or any voluntary cancellation or account closure, will permanently forfeit the Founding Member rate lock. A change of membership tier under Section 5C is not a cancellation and does not forfeit the Founding Member rate lock. A failed payment that is corrected by the member within 10 days of receiving notice from Society 3 will not constitute a lapse for purposes of this rate lock provision.
8. Assumption of Risk, Waiver & Concurrent Execution
Member acknowledges that the Liability Waiver & Informed Consent is a required condition of participation at Society 3 and is incorporated into this Membership Agreement by reference. Society 3 requires execution of both documents prior to any participation. Member confirms that they have been provided with, have read in full, and are executing the Liability Waiver concurrently with this Membership Agreement. Member expressly acknowledges that the waiver of liability, release of claims, assumption of risk, indemnification obligations, and all other terms contained in the Liability Waiver are fully binding on Member to the same extent as if restated verbatim in this agreement. If Member has not been presented with the Liability Waiver at the time of signing this agreement, Member must notify Society 3 staff immediately and prior to any participation.
9. Dispute Resolution & Arbitration
Any dispute, claim, or controversy arising out of or relating to this agreement - including its breach, termination, enforcement, interpretation, or validity - shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in Los Angeles County, California, in accordance with AAA's Consumer Arbitration Rules then in effect (available at [adr.org](http://adr.org)). This arbitration obligation applies equally to both the member and Society 3. Society 3 shall bear all AAA filing and administrative fees in excess of what the member would pay to file a comparable claim in small claims court. All arbitration shall be conducted on an individual basis only - neither party may bring a class, collective, or representative action. Each party expressly waives any right to a jury trial. The arbitrator's decision shall be final and binding on both parties.
Small Claims Option. Notwithstanding the foregoing, either party may instead pursue an individual claim in the small claims court of Los Angeles County, California, for any dispute within that court's jurisdiction. This preserves a low-cost forum for minor disputes without requiring arbitration.
Notwithstanding the foregoing, any claim seeking public injunctive relief under California law - including but not limited to claims under the Unfair Competition Law (B&P §17200) or the Consumer Legal Remedies Act - shall be heard by a court of competent jurisdiction and shall not be subject to arbitration, in accordance with McGill v. Citibank, N.A. (2017) 2 Cal.5th 945. All remaining claims shall proceed in arbitration as provided above. Nothing in this section limits either party from seeking emergency injunctive relief in court solely to prevent irreparable harm while arbitration is pending.
10. Governing Law
This agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any matter not resolved through arbitration under Section 9 shall be brought exclusively in a state or federal court of competent jurisdiction in Los Angeles County, California, and each party hereby consents to such jurisdiction and venue.
11. Entire Agreement
This Membership Agreement, together with the Society 3 Liability Waiver & Informed Consent, Photo & Video Release (if executed), Privacy Notice (CCPA/CPRA), and Studio Policies (collectively, the "Agreement Documents"), constitutes the entire agreement between Member and HIIT IT LLC regarding membership at Society 3. It supersedes all prior and contemporaneous discussions, representations, understandings, and agreements - whether oral or written. No employee, agent, coach, or representative of Society 3 has authority to modify, waive, or supplement any provision of the Agreement Documents except by a written amendment signed by an authorized officer of HIIT IT LLC, or through the notice procedures in Section 7 (Rate Changes) and the Policy Updates provision of the Studio Policies. Member agrees that no verbal representation made at or after signup is binding on Society 3 unless reflected in a signed written amendment.
12. Severability
If any provision of this agreement is found to be invalid, void, or unenforceable under applicable California or federal law, that provision shall be deemed severed from the agreement. All remaining provisions shall continue in full force and effect and shall be construed to give maximum effect to the parties' original intent.
13. Force Majeure
Society 3 shall not be liable for any failure or delay in providing services resulting from circumstances beyond its reasonable control, including but not limited to: natural disasters, earthquakes, fire, flood, acts of government, public health emergencies, mandatory closure orders, building condemnation, or utility failures. In the event of a temporary mandatory closure of the Society 3 facility due to such circumstances, all affected members will be offered a complimentary membership freeze for the full duration of the closure. This emergency freeze will not count against the member's annual freeze allowance and will not incur any freeze fee. If Society 3 is unable to reopen within 90 days of the initial closure date, members shall be entitled to a prorated refund of any prepaid dues for the period during which services were unavailable, consistent with California Civil Code §1812.91.
14. Business Sale or Transfer
In the event of a sale, assignment, merger, or transfer of substantially all of Society 3's membership assets or business operations to a successor operator, Society 3 will provide all active members with at least 30 days written notice prior to the effective date of the transfer, delivered to the email address on file. All existing membership rights in effect at the time of transfer - including Founding Member rate locks, prepaid membership dues, and unused Class Pack sessions - shall be honored by any successor operator for as long as each member's membership remains active. If a successor operator declines to honor these existing rights, members shall be entitled to a prorated refund of any prepaid amounts covering the period following the transfer date. This obligation shall be disclosed to and acknowledged by any prospective purchaser or successor as a condition of the transfer.
